The Genesis Minerals Brightstar Gold investment forms part of an A$82 million placement announced on 27 October 2026. Genesis has subscribed for 60 million new shares at A$0.50 each, on the same terms as the other participants.
Once the placement is completed, Genesis will hold approximately 5.4% of Brightstar, up from 0.8%.
For Brightstar, the immediate use of the money is clear. It wants to drill more of Two Mile Hill, examine underground mining options and establish infrastructure at Sandstone. Its Goldfields construction programme has a separate funding package.

Genesis Increases Its Holding as Sandstone’s Plans Grow
Genesis already owned Brightstar shares before this transaction. The placement substantially increases that exposure, while leaving it with a minority interest.
There is a regional connection too. Genesis focuses on Western Australia’s Leonora-Laverton district, which also hosts Brightstar’s Goldfields Project.
Brightstar Managing Director Alex Rovira described the investment as an endorsement of the company’s assets and team. That is management’s assessment. The announced terms establish a share subscription; they do not give Genesis ownership or operating control of Sandstone.
Colitco’s earlier coverage of Genesis Minerals’ growth outlook provides background on the producer’s own expansion plans.
What the A$30 Million Buys
The Genesis Minerals $30 million deal accounts for roughly 37% of the total placement. Other institutional investors have committed the balance.
| Placement item | Announced terms |
| Total proceeds before costs | A$82 million |
| New Brightstar shares | 164 million |
| Issue price | A$0.50 |
| Genesis subscription | A$30 million |
| New shares subscribed for by Genesis | 60 million |
| Genesis holding after completion | Approximately 5.4% |
| Expected settlement | 2 November 2026 |
| Expected allotment and trading of new shares | 3 November 2026 |
Brightstar reports that the offer price represents a 12% discount to its A$0.565 closing price on 22 October and a 19% discount to its 30-day volume-weighted average price.
The shares will be issued using existing placement capacity, without a shareholder vote. They will rank equally with existing shares.
For holders who do not participate, the larger share count reduces their percentage ownership. The corresponding benefit is more money available for work that Brightstar now wants to undertake sooner.
Two Mile Hill Has Changed the Earlier Study Plan
When Brightstar raised capital in February and March, Sandstone’s studies were mainly directed towards open-pit development. Two Mile Hill-Shillington then held a mineral resource of 731,000 ounces.
That estimate has since increased to 1.45 million ounces at 1.8 grams per tonne. Within it, Indicated resources have risen to 526,000 ounces. Sandstone’s overall resource now stands at 3.6 million ounces.
The deeper Shirvington Zone drilling is not yet included in the updated estimate.
These changes explain why the work programme has expanded. Brightstar is examining whether Two Mile Hill could support a long-life underground operation alongside the proposed open pits.
A larger resource gives the study team more material to assess. The remaining questions concern what can be mined, how it would be accessed and what the operation would cost.
Earlier results from Two Mile Hill also featured in Colitco’s coverage of ASX gold stocks and exploration activity.
The Next Drilling Programme Has Several Jobs
A multi-rig diamond drilling programme of approximately 6,500 metres began during the week of the announcement. It will test extensions to the Shirvington Zone.
Infill work helps improve confidence within that area and supports mine planning. Brightstar also intends to advance a cutback to the existing pit, followed by an underground exploration decline. Camp facilities and associated infrastructure form part of the programme.
The announcement does not provide a Sandstone first-gold date. These are steps towards evaluating and establishing a future operation.
Goldfields Keeps Its Own Funding and Schedule
Readers following the Brightstar Resources gold project portfolio need to keep the two hubs separate.
Sandstone is the focus of this placement. Goldfields is already under construction, with its Laverton processing plant approximately 47% complete.
Brightstar says Goldfields remains on budget and on schedule for first gold in the June 2027 quarter. Funding comes from its earlier equity raising and US$120 million of senior secured bonds carrying a 12.5% coupon.
The bond proceeds are reserved for Goldfields and cannot be used at Sandstone.
At the announcement date, the Nordic Trustee had approved Brightstar’s commercial conditions precedent. Documentary conditions had been agreed and were ready for execution. Release of the bond proceeds from escrow was still to follow as construction spending increased.
The new placement therefore gives Sandstone its own additional funding without changing the Goldfields package.
The Production Ambition Still Depends on Study Results
Brightstar refers to TARGET200, its aspiration to exceed 200,000 ounces of annual group production by calendar 2029.
The announcement explicitly identifies this as an aspiration. Brightstar does not yet have reasonable grounds to publish a Sandstone production target or financial forecast.
Goldfields is further advanced. Its January 2026 feasibility study outlined production exceeding 75,000 ounces annually for six years, subject to the study’s assumptions.
For Sandstone, the pre-feasibility study is targeted for the December 2026 quarter. Brightstar plans to move immediately into a definitive feasibility study, including a more detailed underground assessment of Two Mile Hill.
Those studies will help establish how much of the larger resource could contribute to an operating mine.
Settlement and Sandstone’s Study Are the Next Checks
The first near-term milestone is completion of the placement in early November. After that, attention turns to drilling results, the Sandstone pre-feasibility study and progress on the proposed decline.
Genesis is increasing its financial exposure to Brightstar at a point when the development plan is expanding. Brightstar gains the funding to investigate that opportunity more quickly.
The investment gives the programme backing. Whether the larger plan delivers attractive returns will depend on the mining studies and, eventually, construction and operating performance.
