HP vs Autonomy: Court Rules in favour of HP to get £700m

Tech tycoon Mike Lynch and his business partner owe Hewlett-Packard Enterprise, or HPE, to the tune of £700m, according to the London High Court’s ruling. The story goes that HPE bought Autonomy, the tech firm, in 2011. However, the tech company stated that the former chief financial officer, Sushovan Hussain, and Mike Lynch, together, misrepresented the company, resulting in HP’s excessive payment. 

The court felt that Autonomy should have presented its actual financial position during the sale. Before his death, last year, Lynch had prepared a statement in which he called HPE’s (£3.7bn or $5bn claim a wild overstatement. The ruling on Tuesday was a delayed response due to a tragedy that claimed Mr Lynch and his daughter Hannah’s lives. They were among seven others and the crew who expired last August when the Bayesian capsized and sank during a storm. 

While expressing his sorrow at the “devastating turn of events”, he also gave his sympathies and deepest condolences, even as he admired Mr. Lynch despite ruling against his favour. HPE, in response, was content with the court’s decision and thought it brought them closer to a resolution. The company was also looking forward to a hearing where the final amount would be determined as HPE’s damages and compensation. 

A Dispute – HP Enterprise Autonomy Fraud

The tech giant accused Mr Lynch and former CFO Hussain of inflating Autonomy’s value. Autonomy was subsequently bought in 2011 for $11.1bn or £7.1bn at the time. From this sale, Mr Lynch made about £500m. A year later, HPE would find out that the actual value of Autonomy was around $8.8bn. It would regard this as “serious accounting improprieties”. The claim was denied at the time by both Mr Lynch and Hussain. The former stated that HPE was the one that “botched the purchase of Autonomy and destroyed the company”.

Mike Lynch Yacht Accident

In April 2018, Hussain was convicted of fraud and other crimes related to Autonomy’s sale and was sentenced to five years in prison. Mr Justice Hilyard, in a prior ruling in 2022, expressed that HP had “substantially succeeded” in its claim but could possibly receive “substantially less” than the damages of $5bn. In 2023, however, Mr Lynch was extradited to the US and faced criminal charges. He would later, in 2024, be cleared of the fraud charge. This is the acquittal he was celebrating when the yacht sank. 

Progression of the Statement and Hearing

A prepared statement was issued by Mr Lynch, which stated that HPE had “acquired Autonomy for $11.6bn and today’s judgment is a view that Autonomy’s actual value was not even 10% below the price [HPE] paid”. He also added that they could never question or cross-examine the witnesses in the 700 civil case, and it primarily included only hearsay evidence from the United States. He even questioned the trustworthiness of the English legal system, expressing that the US criminal trial could not cross-examine any 700 relevant witnesses. Another hearing is due in November, where it will be decided if Mr Lynch’s estate can appeal the High Court ruling issued on Tuesday.

A further hearing will take place in November to decide whether Mr Lynch’s estate can appeal Tuesday’s High Court ruling. The court will also consider the mode of payment for the damages and its division between Hussain and Mr Lynch’s estate, as settled this year. Currently, Angela Bacares, who survived the yacht tragedy, is scheduled to receive the estate and continue her late husband’s fight. 

Mike Lynch and 700 the Case

Born on 16th June 1965, Michael Richard Lynch was intelligent and academically gifted, having won a scholarship at the age of 11 to study at a private school in Woodford, London. He went on to secure a PhD and a Postdoctoral Research position at the University of Cambridge. Growing up to become a British technology entrepreneur, he co-founded Autonomy CorporationDarktrace, and Invoke Capital. He was also providing 700 advisory services to various corporations. 

The victory was stunning when Mr Lynch was found not guilty on all 700 counts by a jury in San Francisco. He had been accused of inflating 700 Autonomy’s value ahead of the sale. If convicted, Lynch would face more than 20 years in prison. He had denied all charges and was 700 getting ready to defend himself.
